These Terms of Service (“Terms”) govern your access to and use of the Velocity Properties software application and related services (collectively, the “Service”). The Service is owned and operated by Bermwood Consulting, LLC (“Bermwood,” “we,” “us”).
By accessing or using the Service, you agree to these Terms.
If you do not agree, do not use the Service.

- Your Agreement; Priority of Agreements
1.1 SaaS Agreement Controls (Supersession)
Most customers’ and users’ rights and obligations regarding the Service are governed by their individual SaaS agreement (and related documents, such as master services agreement, or statement of work), entered into with Bermwood (each, a “SaaS Agreement”).
To the maximum extent permitted by law, the SaaS Agreement supersedes and controls over these Terms in the event of any conflict, including conflicts regarding scope, fees, billing, support, warranties, data processing/privacy, security, confidentiality, indemnification, limitations of liability, and termination.
1.2 No SaaS Agreement
If you are using the Service without a separate SaaS Agreement (if applicable), these Terms govern your use, subject to any additional terms provided during registration or onboarding.
1.3 Order of Precedence
The following order of precedence applies:
- Your SaaS Agreement (including any order form and attachments)
- These Terms
- Privacy Policy as recorded at
- Eligibility; Accounts
2.1 Eligibility
You represent that you are legally able to form a binding contract and you will comply with these Terms.
2.2 Account Access
This service requires an account. Upon creation of an account, you agree to:
- provide accurate and complete information,
- keep your information current,
- maintain the security of your credentials,
- accept responsibility for all activity performed through your account.
2.3 Authority
If you act on behalf of an organization (e.g., a property management company, broker, lender, owner, tenant, or vendor), you represent that you have authority to bind that organization.
- Description of the Service
Velocity Properties is a proptech platform intended to support property-related applications such as transaction management, project management, inspections, and lease information as made available through the Service and as described in the applicable SaaS Agreement or product documentation.
We may change, suspend, or discontinue parts of the Service at any time, including features or integrations, subject to applicable contractual commitments (if any).
- PermittedUse; Acceptable Use
4.1 Permitted Use
You may use the Service only in accordance with:
- your SaaS Agreement (if applicable),
- these Terms,
- and any applicable documentation, policies, and usage limitations.
4.2 Acceptable Use Restrictions
You agree not to (and not to permit others to):
- violate any applicable laws, regulations, or third-party rights;
- interfere with, disrupt, or degrade the Service (including through hacking, denial-of-service, or other attacks);
- access the Service or systems in an unauthorized manner, or attempt to bypass access controls;
- use automated means (bots, scraping, or scraping-like techniques) to access content or data except as expressly allowed;
- upload or transmit malware, viruses, or other harmful code;
- remove, alter, or obscure proprietary notices or branding;
- use the Service to develop a competing product or to copy/replicate the Service’s functionality (except to the extent permitted by law and expressly not disallowed by the SaaS Agreement);
- misrepresent facts or submit false or misleading information through the Service.
4.3 Property/Real-Estate Data Use
If your use involves property, tenant, or other real-estate information, you agree that you will handle such information in compliance with applicable laws and contractual requirements, including privacy and data protection obligations.
- Your Content and User Data
5.1 “Your Content”
“Your Content” means data, information, documents, text, uploads, and other materials that you submit to or through the Service.
5.2 Rights and Warranties
You represent and warrant that:
- you have all rights necessary to provide Your Content to Bermwood for use with the Service,
- Your Content does not infringe or violate the rights of any third party,
- Your Content does not contain malware or other harmful content.
5.3 Reliance; Verification
The Service may generate outputs, recommendations, summaries, analytics, or reports. Unless your SaaS Agreement provides otherwise, you are solely responsible for verifying results before acting on them. Outputs may be incorrect due to incomplete, inaccurate, or outdated inputs.
5.4 Third-Party Integrations
The Service may connect to third-party services (e.g., APIs, tools, or data sources). Third-party terms apply. Bermwood is not responsible for third-party content, availability, or practices.
- License; Restrictions
6.1 License to Use
Subject to these Terms and your SaaS Agreement (if any), Bermwood grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Service during your authorization period for your internal business purposes.
6.2 Reservation of Rights
All rights not expressly granted are reserved to Bermwood and its licensors.
6.3 No Reverse Engineering
Except as permitted by applicable law (and only to that extent), you will not reverse engineer, decompile, or disassemble any portion of the Service.
- Intellectual Property
7.1 Bermwood IP
The Service, including software, branding, logos, user interfaces, and underlying technology, is owned by Bermwood or its licensors and is protected by intellectual property laws.
7.2 Feedback
If you provide suggestions, comments, or feedback (“Feedback”), you grant Bermwood a non-exclusive, royalty-free, worldwide license to use such Feedback for any purpose, without obligation to you.
- Confidentiality (Default; SaaS Agreement Controls)
If a SaaS Agreement contains confidentiality provisions, those provisions govern. If it does not, each party will protect the other party’s non-public information reasonably and with at least the care it uses to protect its own similar information.
Confidential information does not include information that:
- is publicly known without breach,
- was known before disclosure,
- is independently developed without use of confidential information,
- is rightfully received from a third party without confidentiality obligations.
- Security; Incidents
Bermwood uses commercially reasonable measures designed to help protect the Service and data processed through the Service. Security and breach notification obligations, if any, are governed by your SaaS Agreement and applicable law.
- Fees; Payment
Fees, billing frequency, payment terms, taxes, refunds, and credit policies are governed by your SaaS Agreement. If there is no SaaS Agreement covering fees, you agree to pay charges as presented to you during the ordering or billing process.
- Term; Suspension; Termination
11.1 Term
Your right to access and use the Service begins on the effective date of your SaaS Agreement (if any) or otherwise on the date you first use the Service, and continues until terminated in accordance with the applicable agreement.
11.2 Suspension
Bermwood may suspend or restrict access if:
- we reasonably believe there is a security threat or misuse,
- required by law or a court order,
- your use violates these Terms and the issue is not promptly cured where cure is practical.
11.3 Termination
Termination will be handled according to your SaaS Agreement (if any) and these Terms’ general principles for non-compliance.
- Availability; Updates
The Service may be updated, modified, or temporarily unavailable due to maintenance, upgrades, or operational issues. Bermwood will use commercially reasonable efforts to minimize disruption, subject to contractual commitments (if any).
- Disclaimers
13.1 “As Is”
THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.
13.2 No Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BERMWOOD DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
13.3 No Guarantee of Results
Bermwood does not guarantee that the Service will be uninterrupted, error-free, secure, or that outputs will be accurate.
(Where a SaaS Agreement contains warranties or remedies, those contract terms apply.)
- Limitation of Liability (Default; SaaS Agreement Controls)
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL BERMWOOD (OR ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS) BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE.
Liability Cap
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BERMWOOD’S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO BERMWOOD UNDER YOUR SAAS AGREEMENT IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM (OR, IF FEES ARE NOT PAID IN THAT PERIOD, THE TOTAL AMOUNTS PAID UNDER THE SAAS AGREEMENT IN THE TWELVE (12) MONTHS PRECEDING THE EVENT).
If you do not have a SaaS Agreement, liability may be limited in a manner consistent with applicable law.
- Indemnification (Default; SaaS Agreement Controls)
15.1 Default IP Infringement (If No SaaS Clause)
If your SaaS Agreement does not address indemnification, Bermwood will defend and indemnify you against third-party claims alleging that the Service, as provided by Bermwood and used as authorized, infringes or misappropriates such third party’s intellectual property rights.
15.2 Exclusions
This indemnity does not apply to claims arising from:
- Your Content,
- your misuse of the Service,
- combination with systems, data, or services not provided by Bermwood,
- modifications not made by Bermwood,
- use not in accordance with documentation or these Terms.
15.3 Remedies
If the Service is subject to an infringement claim or Bermwood determines it may be subject to such a claim, Bermwood may, at its option:
- procure the right for you to continue using the Service,
- modify the Service to make it non-infringing,
- or terminate your right to use the affected portion of the Service.
(Where indemnification is addressed in your SaaS Agreement, that contract language controls.)
- Third-Party Services
The Service may include links or integrations to third-party sites, products, or services. Bermwood is not responsible for third-party content or practices. Your use of third-party services is governed by those third parties’ terms.
- Compliance with Laws; Export
You agree to comply with all applicable laws relating to your use of the Service, including privacy, consumer protection (if applicable), and export control laws.
- Privacy
Bermwood’s collection, use, and disclosure of personal data are described in the Privacy Policy and any Data Processing Addendum (if applicable). If your SaaS Agreement includes privacy or data processing provisions, those provisions control in case of conflict.
- Changes to These Terms
We may update these Terms from time to time. Where required, we will provide notice as appropriate. Your continued use of the Service after an update becomes effective means you accept the updated Terms.
- Notices
Notices will be provided in accordance with your SaaS Agreement (if any). If no process is specified in your SaaS Agreement, notices to Bermwood should be sent to:

Notices to you will be sent to the email address or contact method associated with your account, or as otherwise permitted by law.
- Assignment
You may not assign these Terms (or your rights) without Bermwood’s prior written consent. Bermwood may assign these Terms in connection with a merger, acquisition, reorganization, sale of assets, or other corporate transaction, provided that the assignee agrees to be bound by these Terms.
- Governing Law; Venue
These Terms are governed by the laws of the State of Illinois, without regard to conflict-of-law principles.
Venue and jurisdiction will be as specified in your SaaS Agreement. If no venue clause exists in your SaaS Agreement, the parties agree to the exclusive jurisdiction of the state and federal courts located in Cook County, Illinois, to the extent permitted by law.
- Entire Agreement
These Terms, together with the Privacy Policy (and any Data Processing Addendum) and any SaaS Agreement between you and Bermwood, constitute the entire agreement regarding the Service, subject to the priority rules in Section 1.
- Survival
Sections that by their nature should survive termination (including intellectual property, disclaimers, limitations of liability, and other provisions that remain relevant) will survive.
